We will be joined by a fantastic lineup of practitioners from Deloitte's Value Creation and M&A People teams:

This session will cover the core fundamentals of Operational Due Diligence and HR Due Diligence, offering practical insights straight from industry leaders.

- Operational and HR Due Diligence are all about creating and protecting value in an M&A.
- The majority of deals fail to achieve the value they expected because of people issues. The ICAEW Corporate Finance Faculty recently released a Best-Practice Guideline on how to do HR DD, and quoted as support a Bain & Co analysis of 40 M&A transactions which found that 90% of those it categorised as “successful” had carried out HR DD – while two-thirds of “unsuccessful” deals had not.
- Operational Due Diligence includes operational value creation, synergy potential and carve-outs. This includes how DD helps buyers safely pay more to win the deal, whilst supporting sellers ensure value is not left “on the table”.
- Participants should leave the session with a clear understanding of how ODD and HRDD are applied across standalone acquisitions, operationally complex divestments, public company acquisitions and distressed situations – and how operational considerations frequently extend across the entire lifecycle of an M&A process.
